Introduction
This EULA serves as a legally binding agreement between you (referred to as “the User”) and Ultimate Phone Spy (referred to as “the Licensor”) for the use of our monitoring software (hereinafter referred to as “the Software” or “Licensed Software”). By downloading, installing, or using our Software, you acknowledge and agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, you may not download, install, or use the Software.
General Provisions
- Purpose of the Software: The Software is designed to facilitate monitoring, tracking, and obtaining access to certain devices such as cell phones and computers, including email and text messages. It is essential to use the Software in compliance with applicable laws governing device, account, application, or program monitoring, ensuring that you do not violate any legal obligations or regulations.
- Ownership and Installation: You agree to install the Software only on devices owned or lawfully controlled by you. For cloud-based or non-device installation, you are obligated to use the Software exclusively with accounts, applications, or programs for which you possess legal access rights. Additionally, you must inform any person(s) using a device with the Software installed and any other person with access to a monitored account about the presence of the Software. Failure to comply with this requirement may result in the violation of applicable laws and legal consequences. Please note that you are responsible for any legal costs incurred by the Licensor due to improper or illegal use of the Software.
- Target Device Compatibility: Prior to installing the Software, it is essential to verify the compatibility requirements of your target device, as outlined in the Compatibility Policy. Failure to comply with the Compatibility Policy after installation will render you ineligible for a refund. Please note that the Software’s basic features require target devices to be in compliance with the Compatibility Policy. If additional features are desired, such as on Android devices, jailbreaking (iOS) or rooting (Android) may be necessary, provided it is legally permissible according to applicable laws.
- Scope of License: The Licensor grants you a limited, non-exclusive, non-transferable revocable license (hereinafter referred to as “the License”) to:
- Install the Software on one or more devices owned by you or under your lawful control.
- View and use the Software and any related information provided by the Software.
- Use the Software for cloud-based monitoring of a specified account, application, or program.
Please note that the License does not permit the installation of the Licensed Software on any device you do not own or control, or on any device, account, application, or program you do not have the legal right to monitor.
- Legal Use of the Software: The Licensed Software is intended for use by individuals who possess the legal right to control the device, account, application, or program on which it is installed. It is important to ensure compliance with applicable laws and seek legal advice regarding the permissible use of the Licensed Software before downloading, installing, or using it. You are solely responsible for determining your right to monitor the device, account, application, or program and acknowledge that the Licensor shall not be held responsible if you choose to control a device, account, application, or program without the appropriate legal authority.
- Illegal Use of the Software: You agree not to utilize the Licensed Software to engage in any activities that may harass, abuse, stalk, threaten, defame, or infringe upon the rights of any other person. The Licensor shall not be held responsible for any improper use of the Software on your part. In cases where the Licensed Software is installed without the owner’s permission, the Licensor reserves the right to block or delete the Software from the respective device and block the account of the violator. Furthermore, the Licensor ensures the encryption of all data stored on its servers to protect the account holder’s privacy, in accordance with GDPR standards and requirements.
- Intellectual Property Rights: The Licensor retains ownership of all intellectual property rights pertaining to the Licensed Software, including the original software, copies, related information, improvements, enhancements, and derivatives thereof. You, as the licensee, do not acquire any ownership rights to the Licensed Software through your downloading, installation, or use. It is strictly prohibited to sell, lease, rent, license, sublicense, redistribute, assign, or grant the Licensed Software to any third party. Any attempt to decompile, disassemble, reverse engineer, modify, or create derivative works of the Licensed Software is considered a violation of this EULA and the Licensor’s rights.
- Modifications and Upgrades: The Licensor may provide upgrades, modifications, updates, or additions to the Licensed Software during the term of the License. These modifications will be subject to the terms and conditions outlined in this EULA, unless accompanied by a separate license agreement. It is your responsibility to comply with the terms of this EULA and maintain the confidentiality of any confidential information disclosed to you by the Licensor or its third-party licensors.
- Data Collection and Privacy: By accepting this EULA, you consent to the Licensor collecting and using technical data and related information necessary for software updates, product support, and other services related to the Licensed Software. The Licensor handles the processing, storing, retention, and transfer of personal data in accordance with its Privacy Policy.
- Confidentiality: You agree not to improperly use or disclose any proprietary information or trade secrets of any other person that may come into your possession. If the Licensor discloses confidential information from its third-party licensors, you must comply with any use and confidentiality guidelines provided by the Licensor. All confidential and proprietary information must be held in strict confidence and not be disclosed to any third party or used for the benefit of any person other than the Licensor or the respective third party.
- Term and Termination: The License’s term aligns with your subscription plan, which authorizes you to use the Licensed Software. Your rights under this License will automatically terminate without notice if you fail to comply with any of its terms or if your subscription period expires. Upon termination, you must cease all use of the Licensed Software and uninstall it from any devices where it was installed. If you purchased a lifetime license through a third-party online shop, the license term is five years.
- Limited Warranty: You acknowledge that the Licensed Software may contain bugs, and we strongly recommend regularly backing up your files. The Licensor does not provide a warranty for the working capacity of the Software in case of Terms and Conditions violation or noncompliance with this EULA. Please note that you take full responsibility for any violations of this EULA and the rights of the Licensor or other copyright owners. In the event of a breach, the Licensor reserves the right to pursue legal action and seek damages.
